Self-Billing Agreement

A separate agreement between Digital Media Group OÜ (“cyteclick”) and the Publisher. It is concluded by its own explicit acceptance — not by accepting the Publisher Terms and not by confirming any credit note — and is recorded with its own document version and timestamp.

1. Authorization

The Publisher authorizes cyteclick to issue credit notes (self-billed invoices) in the Publisher's name and on its behalf for commissions payable under the Publisher Terms, in accordance with Art. 224 of Council Directive 2006/112/EC and the applicable provisions of the Estonian Value Added Tax Act.

2. Scope

The agreement covers all commissions payable to the Publisher under the Publisher Terms during its term.

3. cyteclick's obligations

cyteclick issues credit notes monthly, containing all information legally required for an invoice, assigns them a unique sequential number, makes them available in the dashboard, and retains them for the legally required period.

4. Publisher's obligations

The Publisher (a) will not issue its own invoices for supplies covered by credit notes; (b) keeps its legal name, address, VAT status and VAT ID accurate and up to date and notifies changes without undue delay, in particular any change of VAT registration; (c) reviews each credit note and confirms it or objects within a reasonable time; (d) remains responsible for declaring and paying any VAT and other taxes on the commissions; (e) retains credit notes as required by its own tax law.

5. Acceptance procedure

Each credit note is accepted by the Publisher through the individual confirmation in the dashboard. This confirmation applies only to that credit note. Credit notes are never confirmed automatically or deemed accepted. Reminders are sent 7, 14 and 21 days after issue; a credit note still unconfirmed after the last reminder remains pending and unpaid and is followed up individually.

Credit notes are never edited after issue. A correction is made by a separate cancellation document referring to the original, followed where applicable by a new replacement credit note referring to the cancelled original, which must be confirmed again.

Credit notes are issued in EUR. Commissions reported in another currency are converted at the rate actually applied by the upstream network or payment provider; the original amount, currency, rate, rate source and date are shown on the credit note.

6. Term and termination

The agreement runs for an indefinite period. Either party may terminate it in writing (including via the dashboard). Termination does not affect credit notes already issued, and confirmed credit notes issued before termination remain payable; after termination, commissions are paid only against another lawful invoicing arrangement agreed in writing.

7. Non-EU and non-VAT-registered publishers

Where self-billing is not permitted or requires additional formalities in the Publisher's jurisdiction, cyteclick may require another invoicing arrangement.

8. Precedence

For invoicing matters this agreement takes precedence over the Publisher Terms; in all other respects the Publisher Terms apply.
